Welcome to Rovex (“Rovex,” “we,” “our,” or “us”).

These Terms of Service (“Terms”) govern your access to and use of the Rovex website, products, services, software, robotic systems, and related technologies (collectively, the “Services”).

By accessing or using our website or Services, you agree to be bound by these Terms.

If you do not agree, do not use the Services.

Rovex develops autonomous robotic systems and related software solutions for healthcare facilities, including technologies supporting hospital transport logistics, patient movement, supply movement, and operational optimization.

2. Eligibility

You may use the Services only if:

You are at least 18 years old; and
You have authority to bind yourself or your organization to these Terms.

If you use the Services on behalf of an organization, you represent that you have authority to do so.

3. Website Use

You may use the website for lawful informational and business purposes only.

You agree not to:

Violate applicable laws or regulations
Attempt unauthorized access to our systems
Interfere with website functionality
Upload malicious code or malware
Misrepresent your identity
Harvest or scrape website data without authorization
Use the website for competitive intelligence in bad faith

We reserve the right to suspend or block access for violations.

4. Product and Service Information

Information on our website is for general informational purposes only.

Descriptions of products, services, features, and capabilities may change without notice.

Website materials do not constitute a binding offer, guarantee, or contractual commitment unless expressly stated in a separate written agreement.

5. No Medical Advice

Rovex provides operational robotics and technology solutions.

Rovex does not provide:

Medical advice
Clinical decision-making
Diagnosis
Treatment recommendations

Nothing on the website or in the Services constitutes medical advice.

Clinical decisions remain solely the responsibility of licensed healthcare professionals.

6. Healthcare Use and HIPAA

Rovex may provide Services to hospitals, healthcare systems, and healthcare providers.

Where applicable, Rovex may act as a Business Associate under the Health Insurance Portability and Accountability Act (“HIPAA”) pursuant to executed Business Associate Agreements (BAAs).

Users agree that:

Protected Health Information (“PHI”) may only be shared with Rovex where authorized by applicable agreements and law;
HIPAA obligations may be governed by separate contractual agreements;
These Terms do not replace or supersede any executed BAA.

Rovex maintains safeguards designed to support HIPAA compliance where applicable.

Nothing in these Terms authorizes improper disclosure of PHI.

7. AI and Autonomous Systems Disclaimer

Rovex’s Services may include AI-assisted and autonomous robotic systems.

You acknowledge and agree:

AI systems may produce operational recommendations or automate workflows;
Autonomous systems require human oversight and operational controls;
Environmental variables may affect robot performance;
No robotic or AI system is infallible.

Healthcare facilities remain responsible for:

Clinical oversight
Operational supervision
Facility safety compliance
Patient care decisions

Rovex does not guarantee uninterrupted or error-free robotic operation.

8. Customer Agreements Control

If you are a Rovex customer under a separate written agreement (including purchase agreements, support agreements, pilot agreements, SaaS agreements, BAAs, or deployment contracts), that agreement controls in the event of conflict with these Terms.

9. Intellectual Property

All content, software, robotics systems, designs, trademarks, branding, logos, documentation, and technology are owned by Rovex or its licensors.

This includes:

Website content
Software
Robotics firmware
AI systems
Visual assets
Product designs
Documentation

No ownership rights are transferred to users.

You may not:

Copy
Modify
Reverse engineer
Distribute
Reproduce
Commercialize any Rovex intellectual property without written permission.

10. Feedback

If you provide suggestions, ideas, or feedback regarding our Services, you grant Rovex a perpetual, worldwide, royalty-free right to use, modify, and implement that feedback without compensation.

11. Third-Party Services

Our website or Services may integrate with third-party systems, including:

Hospital software systems
Analytics providers
Cloud platforms
Communication systems

Rovex is not responsible for third-party products or services.

Use of third-party systems may be governed by separate terms.

12. Availability

We may modify, suspend, or discontinue any part of the Services at any time without liability.

We do not guarantee continuous availability.

Maintenance, upgrades, outages, and technical issues may affect access.

13. Warranties Disclaimer

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”

ROVEX DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING:

MERCHANTABILITY
FITNESS FOR A PARTICULAR PURPOSE
NON-INFRINGEMENT
ACCURACY
RELIABILITY
AVAILABILITY

We do not warrant that the Services will be uninterrupted, error-free, or secure.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ROVEX SHALL NOT BE LIABLE FOR:

Indirect damages
Incidental damages
Consequential damages
Special damages
Lost profits
Lost revenue
Business interruption
Data loss

This includes claims arising from:

Website use
Robotic system operation
AI system outputs
Service interruptions

To the extent liability cannot be excluded, Rovex’s total liability shall not exceed the amount paid to Rovex for the applicable Services in the twelve (12) months preceding the claim.

15. Indemnification

You agree to defend, indemnify, and hold harmless Rovex and its officers, employees, contractors, and affiliates from claims arising out of:

Your use of the Services
Your violation of these Terms
Your violation of law
Your misuse of robotic or AI systems

16. Confidentiality

If you receive non-public information from Rovex, you agree to keep it confidential and not disclose it without written authorization.

Confidentiality obligations may also be governed by separate NDAs or customer agreements.

17. Export Compliance

You agree to comply with all applicable U.S. export control and trade laws.

You may not use, export, or transfer Rovex technology in violation of applicable export restrictions.

18. Governing Law

These Terms are governed by the laws of the State of Florida, without regard to conflict of laws principles.

19. Venue

Any dispute arising under these Terms shall be resolved exclusively in the state or federal courts located in Alachua County, Florida, and you consent to jurisdiction there.

20. Termination

We may suspend or terminate access at any time for:

Violations of these Terms
Security concerns
Legal compliance
Misuse of Services

Termination does not affect accrued rights or obligations.

21. Force Majeure

Rovex shall not be liable for delays or failures caused by events beyond reasonable control, including:

Natural disasters
Cyberattacks
Utility failures
Government actions
Labor disputes
Supply chain disruptions

22. Changes to Terms

We may update these Terms at any time.

Updated Terms will be posted on this page with a revised effective date.

Continued use after updates constitutes acceptance.
