These Terms do not replace or supersede any executed BAA.

7. AI and Autonomous Systems Disclaimer
Rovex’s Services may include AI-assisted and autonomous robotic systems.
You acknowledge and agree:

Autonomous systems require human oversight and operational controls;

Environmental variables may affect robot performance;

No robotic or AI system is infallible.
Healthcare facilities remain responsible for:

Rovex does not guarantee uninterrupted or error-free robotic operation.
8. Customer Agreements Control
If you are a Rovex customer under a separate written agreement (including purchase agreements, support agreements, pilot agreements, SaaS agreements, BAAs, or deployment contracts), that agreement controls in the event of conflict with these Terms.
9. Intellectual Property
All content, software, robotics systems, designs, trademarks, branding, logos, documentation, and technology are owned by Rovex or its licensors.

Documentation
No ownership rights are transferred to users.
You may not:

10. Feedback
If you provide suggestions, ideas, or feedback regarding our Services, you grant Rovex a perpetual, worldwide, royalty-free right to use, modify, and implement that feedback without compensation.

To the extent liability cannot be excluded, Rovex’s total liability shall not exceed the amount paid to Rovex for the applicable Services in the twelve (12) months preceding the claim.
15. Indemnification
You agree to defend, indemnify, and hold harmless Rovex and its officers, employees, contractors, and affiliates from claims arising out of:

16. Confidentiality
If you receive non-public information from Rovex, you agree to keep it confidential and not disclose it without written authorization.
Confidentiality obligations may also be governed by separate NDAs or customer agreements.
17. Export Compliance
You agree to comply with all applicable U.S. export control and trade laws.
You may not use, export, or transfer Rovex technology in violation of applicable export restrictions.
18. Governing Law
These Terms are governed by the laws of the State of Florida, without regard to conflict of laws principles.
19. Venue
Any dispute arising under these Terms shall be resolved exclusively in the state or federal courts located in Alachua County, Florida, and you consent to jurisdiction there.
20. Termination
We may suspend or terminate access at any time for:

Termination does not affect accrued rights or obligations.
